The Structured Finance and Alternative Entity group of Potter Anderson & Corroon is very experienced in the use of alternative and special purpose business entities in a wide array of financings, including secured and unsecured financings, acquisition financings, asset-backed and collateralized structures, project financings, bankruptcy-remote structures, and the emerging area of premium finance and life settlement transactions.  The attorneys in this group specialize in representing lenders, borrowers, and other parties in the formation, utilization, operation, and dissolution of every type of alternative entity, including special-purpose corporations, general partnerships, limited partnerships, limited liability partnerships, limited liability limited partnerships, limited liability companies, and statutory and common law trusts.  In addition to rendering sophisticated advice to alternative business entities and the parties forming them, the attorneys in the Structured Finance and Alternative Entity group regularly render third-party legal opinions, which are relied upon by other parties in a transaction, by rating agencies such as Standard & Poor's and Moody's, and by governmental authorities such as the Securities and Exchange Commission.  In the area of bankruptcy-remote transactions, Potter Anderson & Corroon is one of only two Delaware law firms with a form of legal opinion that has been approved by Standard & Poor’s.
