Mr. Brown is Chairman of the firm and former Chairman of the firm's Business Practice group. He specializes in corporate transactions including mergers and acquisitions, joint ventures, licensing arrangements, and in business counseling. He frequently works with foreign companies in their U.S. business transactions and planning. He has negotiated and drafted numerous acquisition and sale agreements and joint venture agreements, as well as a number of manufacturing and distribution contracts and complex licensing agreements. Prior to his legal career, he worked in the Investment Banking Division of Merrill Lynch.
Mr. Brown is active on the boards of several charitable organizations. He helped found and chaired a state-wide volunteer lawyer program that provides pro bono legal services to the poor. Recently, he co-chaired a state-wide fund raising campaign for legal services to the poor and headed United Way of Delaware’s major gifts campaign for lawyers. He has served on the Finance Committees of Senators Joe Biden and Tom Carper and Governor Ruth Ann Minner, and as State Counsel in Delaware to the Democratic National Committee.

Representative Matters
Mr. Brown recently acted as lead counsel to a major multinational company in the proposed purchase of a consumer products business and the purchase of a foods business and as lead counsel in the divestment of a personal care products business.
